Terms of Service

These Terms of Service ("Terms") govern your access to and use of checkerfin.com and the Checker payment infrastructure API (the "Service"), operated by Checker Pte. Ltd. ("the Company," "we," "us," or "our"), a company incorporated in Singapore with its registered office at 9 Battery Road, Level 20, Singapore 049315. By creating an API account or using the Service, you agree to be bound by these Terms. Nothing in these Terms limits any statutory rights you may have under the laws of your country of residence.
1. Agreement
These Terms form a binding contract between you and the Company. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms, and references to "you" in these Terms refer to that entity. If you do not have that authority, or if you do not agree with these Terms, you may not use the Service.
The Checker API is designed for use by fintech platforms, payment operators, and business developers integrating payment routing, reconciliation, and compliance services into their own products. It is not a consumer payment service and is not intended for personal, household, or family use.
2. Use of the Service
When you access and use the Service, you agree to the following:
- You must be of legal age in your jurisdiction to enter into binding contracts, or have appropriate organisational authority if acting on behalf of a legal entity.
- You agree not to use the Service for any unlawful purpose or in any manner that violates the Singapore Payment Services Act 2019, MAS licensing conditions applicable to your operations, applicable anti-money laundering requirements, or any other law or regulation that applies to your use of the Service.
- You agree not to interfere with the operation of the Service, attempt unauthorised access to any account or system, or use the API in a manner that would impair performance for other users.
- You may not scrape, reverse-engineer, or reproduce the Service or its underlying routing logic except as expressly permitted by applicable mandatory law.
- You are responsible for maintaining the confidentiality of your API keys and for all API calls made with your credentials. You must notify us promptly if you suspect unauthorised use of your API keys.
- You remain responsible for your own compliance obligations as a payment service operator, including any licensing requirements you hold or are required to hold under the Payment Services Act. The Company's compliance enforcement layer assists your compliance programme; it is not a substitute for your own regulatory responsibilities.
3. Intellectual Property
The Service, including the routing engine, reconciliation infrastructure, compliance logic, API design, documentation, and all associated software and content, is owned by the Company or its licensors and is protected by applicable intellectual property law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service solely for your own legitimate business operations in accordance with these Terms and the applicable API documentation.
4. Your Data and API Content
You retain all rights in the payment transaction data, reconciliation records, and other data you submit through the Checker API. You grant the Company a limited licence to process that data solely for the purpose of delivering the routing, reconciliation, and compliance services described in the API documentation. The Company will handle that data in accordance with the Privacy Policy and any data processing agreement entered into between the parties.
You are responsible for the accuracy and legality of the data you submit through the API. You represent that you have all necessary rights and consents to transmit the data and to instruct the Company to route transactions on your behalf.
5. Disclaimers
The Service is provided on an "as is" and "as available" basis. The Company makes no warranty, express or implied, including warranties of merchantability, fitness for a particular purpose, or uninterrupted operation, to the maximum extent permitted by applicable law. The Company does not warrant that the Service will be free from errors or that all payment routing attempts will succeed, as routing outcomes depend in part on the availability and policies of third-party payment providers. Mandatory statutory warranties that cannot be excluded under the laws of your jurisdiction are not affected by this section.
6. Limitation of Liability
To the maximum extent permitted by applicable law, the Company's total aggregate liability arising from or related to the Service, whether in contract, tort, or otherwise, will not exceed the amounts you paid to the Company in the three months immediately preceding the event giving rise to the claim, or USD 100 if you have paid nothing during that period. This limitation does not apply to liability for death or personal injury caused by the Company's negligence, fraud, or any other form of liability that cannot be limited under mandatory law.
7. Indemnification
You agree to indemnify, defend, and hold harmless the Company, its directors, officers, and employees from any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from: your use of the Service; your breach of these Terms; your violation of any applicable law or regulation, including payment service licensing requirements; or your infringement of any third-party rights. The Company will notify you promptly of any such claim and will provide reasonable cooperation in its defence.
8. Termination
You may stop using the Service at any time by closing your API account. The Company may suspend or terminate your access to the Service immediately upon notice if you breach these Terms, if your use of the Service creates regulatory or security risk for the Company or other users, or if required by applicable law or a government authority. Upon termination, the rights and licences granted to you will cease. Sections that by their nature should survive termination, including sections on intellectual property, limitation of liability, indemnification, and governing law, will continue to apply.
9. Governing Law and Jurisdiction
These Terms are governed by the laws of Singapore, without reference to conflict of laws principles.
Disputes arising from or related to these Terms or the Service are subject to the non-exclusive jurisdiction of the competent courts in Singapore, without prejudice to any mandatory consumer-protection or dispute resolution rights you may have under the laws of your country of residence.
10. Changes and Contact
The Company may update these Terms from time to time. Material changes will be posted to this page with a new "Last updated" date, and registered API account holders will receive notice by email at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
